HERE WE GROW OWNER SWEEPS OFFICIAL RULES

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED. 

  1. INTRODUCTION

Authority Brands Inc. (the “Sponsor”) is offering an opportunity for current United States Authority Brands franchise owners (“Owners”) to win a Grand Prize (as defined in Section 5) in addition to new franchisee a cash prize of $15,000 and Visa gift cards (collectively, with the Grand Prize, the “Prizes”). Owners are defined as owners of brands described on Sponsor’s website (www.theauthoritybrands.com). The Contest begins at 11:59 a.m. Eastern Time on February 24, 2025 and ends at 11:59 p.m., Eastern Time on February 26, 2027 (the “2025-2027 Contest Period”). By entering the Contest, all entrants unconditionally agree to be bound by and abide by all terms of these Official Rules and the decisions of Sponsor (including, without limitation, decisions regarding eligibility of entries and entrants, and the selection of the winner), whose decisions shall be final and binding. 

  1. ELIGIBILITY

All Owners in good standing, who are not a current employee of Sponsor or its affiliates, may enter if they are, at the time of entry, eighteen years or older, and a legal resident of the United States (each eligible Owner that enters is an “Entrant”). THIS CONTEST IS VOID WHERE PROHIBITED OR RESTRICTED BY LAW AND VOID TO RESIDENTS IN THE STATE OF WASHINGTON (OR INDIVIDUALS OTHERWISE SUBJECT TO WASHINGTON STATE FRANCHISE SELLER AND BROKER REGULATIONS). Each of Sponsor’s and its affiliate’s respective officers, directors, members, employees, advisors, accountants, attorneys, assignees, agents, licensees, and representatives, and any other person or entity associated with this Contest (collectively, “Contest Entities”), and their immediate family members (defined as parent, spouse, child, siblings and grandparents) are NOT eligible to enter or win. 

  1. HOW TO PARTICIPATE

Each Entrant receives one entry for each Qualified Lead submitted to Sponsor at https://marketing.theauthoritybrands.com/here-we-grow (each is an “Entry”). All Entries must be received by 11:59pm Eastern Time on December 31, 2026 (“Entry Deadline”). Any entry received after the Entry Deadline will be ineligible for the sweepstakes. However, if we hold a similar sweepstakes after the expiration of the Entry Deadline, we may roll your entry into the next sweepstakes. A Qualified Lead is a referral lead for a potential new Authority Brands franchise owner that meets all the following requirements: (1) the lead is not a current Owner of any brand within the Authority Brands’ franchise portfolio: (2) the lead is a new lead to Authority Brands and its affiliates (in cases where two or more Entrants submits the same lead, the first Entry submitted shall be the valid Entry); (3) it is accurate and complete (all the fields on the referral form are completed, including name, address and phone contact information); and (4) meets the current qualifications to become an Authority Brands franchise owner (in the sole judgement of Sponsor and/or its affiliates). All conditions described in subsections 1 through 4 must be satisfied during the Contest Period for the Entry to be considered a Valid Entry. 

  1. OPERATION OF CONTEST

Sponsor reserves the right to disqualify any Entrant that fails to fully comply with these Official Rules; deem an Entry incomplete, or that, in the sole discretion of Sponsor, otherwise is deficient. Sponsor assumes no responsibility for lost, misdirected, late, incomplete, or illegible entries or for failure to receive an Entry for any reason, including, without limitation, transmission failures, technical failures of any kind, malfunctioning of any network, hardware or software, or errors in sending, receiving or processing data, whether originating with sender or Sponsor. Sponsor reserves the right to disqualify any Entry by persons determined to be tampering with or abusing any aspect of the Contest. 

  1. PRIZES

Each Entrant will receive a $100 Visa gift card (each a “Gift Card”) for each complete and accurate referral form submitted to Sponsor, regardless of whether or not the individual submitted to Sponsor is considered a Qualified Lead (“Referred Candidate”), up to a total of three (3) Gift Cards per Entrant. 


Each Owner that provides a Qualified Lead which leads to a Franchise Sale (as defined herein) on or before February 26, 2027 shall earn a $15,000 prize (“New Franchisee Prize”). Only one (1) New Franchisee Prize will be awarded per Qualified Lead, no matter how many franchise agreements that the Qualified Lead may sign. Furthermore, if the Franchise Sale is for a new franchise of one of the following brands: ASP, Homewatch CareGivers, Junkluggers, The Cleaning Authority or Woofie’s, Authority Brands, Inc. or an affiliate will award the Owner who provided the Qualified Lead for the Franchise Sale of the new franchise business of one of these specific brands an additional $5,000.


In addition, each Owner who receives a New Franchisee Prize will be entered into a random drawing to win a Grand Prize of an amount equivalent to $5,000 per Franchise Sale with the total Grand Prize amount to be determined based on the number of Franchise Sales awarded by February 26, 2027. We anticipate that the Grand Prize will be drawn and announced on February 28, 2027, but this may change at our sole discretion. NEW FRANCHISEE RULES: Entrants agree and acknowledge that it is solely Sponsor’s decision whether to offer a franchise to a Qualified Lead, and whether to pursue or close on a Franchise Sale, and Sponsor is not liable to Entrant nor to any other party for any delay or failure to consummate (or a decision not to consummate) a Franchise Sale with a Qualified Lead. For avoidance of doubt, no Owner or Entrant is authorized to or can act as a sales agent or broker for Sponsor and its Affiliates and only Sponsor or Affiliates can issue any franchise agreements or franchise disclosure documents.  


Prizes must be accepted as awarded. Prizes are non-assignable and non-transferable. No substitution is allowed, except that Sponsor, in its sole discretion, reserves the right to substitute a prize of equal or greater value. The value of the prize is taxable as income. Prize winner is solely responsible for all costs, taxes, fees, and applicable federal, state and local taxes regarding the prizes. 

  1. RULES AND SELECTION OF WINNERS

Entries must be received by Sponsor no later than the Entry Deadline. One Grand Prize winner will be chosen by Sponsor in the winter of 2027. Gift Cards will be sent within thirty (30) days of Sponsor’s receipt of a Referred Candidate. New Franchisee Prize checks will be sent within ten (10) business days of a Franchise Sale. For purposes of these Official Rules, a “Franchise Sale” means that all of the following conditions have been met: (a) Sponsor and/or its Affiliate offered a Qualified Lead a franchise for an Authority Brands franchise and the Qualified Lead has executed the standard form Franchise Agreement required by Sponsor and/or its affiliates, and all other agreements or documents Sponsor and/or its Affiliate require as part of its franchise offering for the franchised brand; (b) the Qualified Lead has paid Sponsor the non-refundable, required initial franchise fee and any additional fees due as part of the franchise offering (collectively, the Franchise Fees) for the franchise brands listed in (a) above; (c) Sponsor has confirmed that such Franchise Fee payments have cleared; and (d) such Franchise Fee payments have cleared Sponsor’s bank account by February 26, 2027.

  1. NOTIFICATION OF WINNER

We anticipate that the Grand Prize will be announced on February 28, 2027, but this may change at our sole discretion. Winners may be required to complete an affidavit of eligibility and liability/publicity release (except where prohibited by law), which must be returned within ten (10) days of receipt. Failure to sign and return the affidavit and/or release within such period, or to comply with any term or condition of these Official Rules, may result in a winner's disqualification and the forfeiture of the potential winner's prize, at the Sponsor’s sole discretion. In such event, Sponsor reserves the right to determine if and when a prize will be re-awarded and the applicable terms.

  1. GENERAL CONDITIONS

This Contest is subject to all federal, state and local laws, rules and regulations. Sponsor reserves the right to disqualify any Entry and/or any individual it finds to be tampering with the entry process or the operation of the Contest or website; to be acting in violation of these Official Rules; or to be acting in a disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY ANY INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. 

  1. PUBLICITY

By entering the Contest, each Entrant grants Sponsor and/or its affiliates permission to use the person’s name, likeness, voice, photographs, video, opinions, statements, address and email address, for promotional purposes. Any use of the forgoing information may be in any manner or media now or hereafter known or existing, worldwide, in perpetuity and without compensation, notice or further consent, unless prohibited by law. 

  1. LIMITATIONS OF LIABILITY; RELEASE

If for any reason the Contest is not capable of running as planned due to any Internet or software-related problem, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes beyond the control of Sponsor, which corrupts or affects the administration, security, fairness, integrity or proper conduct of the Contest, Sponsor reserves the right to disqualify any individual who causes any such problem, and to cancel, terminate, modify or suspend the Contest. Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction, unauthorized access to, or alteration of entries. Sponsor is not responsible for any problem or technical malfunctions of any telephone network or lines, computer online systems, servers or provider, computer equipment, software, failure of any email or entry to be received by Sponsor or email notices to winners on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to entrant’s or any other person's computer related to or resulting from participation or downloading any materials in the Contest. 

Sponsor is not responsible for technical, hardware or software failures of any kind, lost or unavailable network connections or failed, incomplete, garbled or delayed transmissions which may limit an entrant's ability to participate in the Contest or damage entrant’s system as a result of participation in the Contest or downloading any information necessary to participate in the Contest. Sponsor also is not responsible for misdirected, lost, late, illegible, forged, destroyed, or incomplete entries or entries not otherwise in compliance with these Official Rules. 

By entering this Contest, each Entrant agrees that: (i) any and all disputes, claims, and causes of action arising out of or in connection with the Contest or the prize awarded, shall be resolved individually, without resort to any form of class action; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs, associated with entering the Contest, but in no event will attorneys' fees be awarded or recoverable; and (iii) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby knowingly and expressly waives all rights to, punitive, incidental or consequential damages and/or any other damages other than actual out-of-pocket expenses. 

The winner, by accepting any of the prizes described in these Official Rules, agrees to release and hold harmless Contest Entities from any and all liability, claims or actions of any kind whatsoever, which may result from the award, receipt, enjoyment, ownership or use or misuse of the prize (including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, damage to, loss or destruction of property, or any claims, costs, injuries, losses, or damages related to or based on the entrant's rights of publicity or privacy, or the entrant's claim that he/she has somehow been defamed or portrayed in a false light). 

Sponsor does not assume any responsibility for any schedule changes in the Contest Period, including without limitation, scheduling conflicts, labor strikes, Acts of God, or other unforeseen events that disrupt the Contest schedule. Sponsor reserves the right to cancel, modify, or suspend this Contest. 

ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR CONTEST ENTITIES IN CONNECTION WITH THIS CONTEST SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF MARYLAND WITHOUT GIVING EFFECT TO ANY CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE'S LAWS. THE INVALIDITY OR UNENFORCEABILITY OF ANY PROVISION OF THESE RULES SHALL NOT AFFECT THE VALIDITY OR ENFORCEABILITY OF ANY OTHER PROVISION. IN THE EVENT THAT ANY PROVISION IS DETERMINED TO BE INVALID OR OTHERWISE UNENFORCEABLE OR ILLEGAL, THESE RULES SHALL OTHERWISE REMAIN IN EFFECT AND SHALL BE CONSTRUED IN ACCORDANCE WITH THEIR TERMS AS IF THE INVALID OR ILLEGAL PROVISION WERE NOT CONTAINED HEREIN. EACH PERSON WHO PARTICIPATES IN THIS CONTEST AGREES THAT THE STATE AND FEDERAL COURTS LOCATED IN BALTIMORE, MARYLAND HAVE EXCLUSIVE JURISDICTION OVER ANY SUIT OR OTHER PROCEEDING ARISING OUT OF OR BASED UPON THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR CONTEST ENTITIES IN CONNECTION WITH THIS CONTEST AND EACH HEREBY WAIVES ANY CLAIM THAT IS NOT SUBJECT PERSONALLY TO THE JURISDICTION OF SAID COURTS OR THAT ANY SUCH SUIT OR OTHER PROCEEDING IS BROUGHT IN AN INCONVENIENT FORUM OR IMPROPER VENUE.

  1. DATA COLLECTION

Sponsor may collect personal information from Entrants when they enter the Contest. The information collected is subject to the Privacy Policy of Sponsor located at https://www.theauthoritybrands.com/privacy-policy/, however, YOUR ENTRY CONSTITUTES YOUR AGREEMENT THAT THE PERSONAL INFORMATION YOU PROVIDE MAY BE USED AND DISCLOSED IN ACCORDANCE WITH THESE OFFICIAL RULES. DO NOT ENTER THIS CONTEST IF DO NOT AGREE TO THE USE AND DISCLOSURE OF YOUR PERSONAL INFORMATION.
